Chapter 11 Consignment Contract寄售合同Consignment 寄售Under consignment, the consignor sends the goods to a foreign consignee who will sell the goods for the consignor according to the agreed terms. The essence of consignment trading is that goods exported on the consignment remain the property to the exporter. Therefore, consignment exports are not really exports because the exporter retains title to the goods until the importer sells the goods to final customers or third parties. So, the exporter is not paid until the goods are sold in the overseas marketplace.在寄售条件下,寄售人将货物发给国外的代理商,而代理商则按协议代为销售。寄售最根本的特点就是出口产品仍为出口人所有。因此,寄售出口并不是真正的出口,因为在代理商将货物卖给最终客户或第三者之前,出口人仍拥有对货物的所有权。因此,只有当货物在国外市场最后出手之后,寄售人才能收到货款。Usually, the overseas consignee is advised of the goods being sent to him by means of a pro forma invoice. This gives him some idea of the price the exporter hopes to realize when the goods are sold. Any expenses incurred, such as warehousing, insurance or selling expenses, are for the consignor’s account. When goods are sold, the consignee will render a sales report which shows the gross proceeds, the expenses incurred and the consignee’s commission etc.通常,国外的代理商是通过收到形式发票才得知货物已经发出。这种方式可以使代理商明白出口商希望货物能按什么价格出售。由此而引起的一切费用,如仓储、保险或销售费用都应该由寄售人支付。当货物售出后,代理商会提交一份销售报告,其中指明毛收入、支出费用和代理商的佣金等。Consignment is rarely used between independent exporters and importers. There is too much risk for the exporters because they are not paid until all goods are sold in the foreign market. This may turn out to be a long period of time. Also, if the goods do not sell well on the foreign market, the exporter may have to get the goods back at his expense or sell the goods on discount. Moreover, most exporters feel that when an importer has his or her money tied up in inventory, he or she will make a greater sales effort. However, importers like consignment because it reduces their risk and requires no additional working capital.寄售的方式很少在独立的出口商与进口商之间使用。出口商所冒的风险太大,因为他们必须等所有货物在国外市场上出售后才能得到货款。这可能会是一段相当长的时间。而且,一旦货物在国外市场上销路不好,出口商须自己承担费用将其运回,或者在当地折价出售。再者,大多数出口商们认为,如果出口商将自己的资金押在货物上,他们的销售活动会更积极一些。然而,进口商们喜欢寄售的做法,因为寄售可以减少他们的风险,而且无须占用太多的流动资金。Nonetheless, when the exporter wants to introduce goods to a foreign market, a consignment arrangement might be necessary to encourage the importer to handle the new merchandise. Furthermore, if the exporter wishes to control the foreign market price of his product, he can do so under a consignment contract.然而,当出口商想向国外市场推销新产品时,就有必要采用寄售的方式来鼓励进口商品进口新的产品。而且,如果出口商想控制其产品在国外市场上的售价,他也可以通过寄售合同来达到此目的。Agreement of ConsignmentThis Agreement is entered into between ABC Co. (hereinafter referred to as the Consignor), having its registered office at ____, Shanghai, China and XYZ Co. The Consignor shall from time to time ship ____ (commodity) to the consignee on Consignment basis at the prevailing international market prices on CIF terms. The interval between each shipment shall be approximately ninety days.寄售人将不断地把×××(货物)运交给代售人代售。货物价格为市场CIF市价,约隔90天运交一次。2. The Consignee must try to sell the consignments at the best possible prices after obtaining the approval of the Consignor as to price, terms, etc.代售人在征得寄售人对价格、条款等的同意之后,必须尽力以最好价格出售寄售商品。3. Each shipment by ship at the initial stage will not exceed U.S.D. ____ and the outstanding liabilities on the Consignee shall be in the vicinity of not more than U.S.D. ____ only.开始阶段,每次船运货物的价格不得超过×××美元,代售人未偿付的货款不能超过×××美元。4. The Consignor shall at no time be responsible for any bad debts arising out of credit sales to any buyers. Making payments to the Consignor shall at all times be the sole responsibility of the Consignee.寄售人对赊销造成的坏帐不负任何责任,代售人在任何时候均负有支付寄售人货款的义务。5. The Consignee shall accept the Bills of Exchange drawn by the Consignor on him at 90 days’ sight with interest payable at ____ % per annum.代售人将接受寄售人开立的以代售人为付款人的90天远期汇票,年利××%。6. The Consignee shall collect the shipping documents including B/L from the Consignor’s bank against Trust Receipt duly signed by the Consignee.代售人以签字信托收据从寄售人银行换取包括提单在内的装运单据。7.
